Rules and Regulations

§1
General

  1. The www.foggyfrog.eu Web Portal, its subpages and interdependent pages are the property of EXPERTO s.r.o. with its registered office at Dolna 16, 974 01 Banská Bystrica (Slovakia), registred at the Court for Banska Bystrica under IČO number 51907747, VAT EU SK21208369

  1. This portal fulfils a strictly informative role about the Foggy Frog brand and its products in the general part, in the part of the customer panel it is intended to serve business customers, create offers as well as process and fulfil orders.

  1. These regulations define the rules for using the portal in the general part as well as the panel for B2B customer service.

§2
Definitions

  1. Client of the portal – a person conducting a sole proprietorship registered in the relevant register, a person with legal capacity registered in the relevant court and tax register, and if necessary, also customs, who places an order through this portal.

  1. Seller – a business entity responsible for the sale of Foggy Frog brand products

    • The European Union market excluding the territory of Poland:

    • Market covering the territory Poland:

  2. Web portal – a portal www.foggyfrog.eu with its subsidiaries and interdependent pages, which consists of two panels:

    • General panel – information panel about Foggy Frog products

    • Customer panel – a business customer panel for customer registration, product information, commercial offers, execution and registration of orders

  3. Regulations – rules and regulations of this portal

  4. Distance contract – a contract concluded with a client as part of an organised system of concluding distance contracts, without the simultaneous physical presence of the parties, with the exclusive use of one or more means of distance communication up to and including the conclusion of the contract (e.g. shopping in an e-store, registration in the internet portal). The conclusion of the contract via the portal is carried out by: customer registration, acceptance of registration by the administrator, placing an order by the customer with the obligation to pay.

  5. B2B customer – (Business to Business) is an entrepreneur or a group of company representatives from individual departments responsible for the implementation of the purchasing process, who are potentially interested in our product.

  6. Order – the will of a person or a legal person performing a legal act, which can be expressed by any behaviour of this person that reveals his will in a sufficient manner, including by disclosing this will in electronic form, by making an order for the purchase of offered products through the website.

  7. Customer registration form – a form containing a set of information about the customer, which in the light of applicable law must be obtained by the seller from a future potential customer.

  8. Order form – a form containing a set of information regarding the order placed by the customer, which is necessary for the implementation of the order placed.

  9. Processing of personal data – processing of necessary personal data in accordance with the Regulations for the processing of personal data (link to Rules and Regulations)

§3
Technical requirements

  1. To use the information contained on the website in the general part,a regular Internet connection is sufficient and the use of one of the commonly available web browsers (we recommend: Google Chrome, Safari, Microsoft Edge), cookies are enabled.

  1. To use the customer panel, in addition to point 1, it is necessary to obtain full acceptance of the customer's registration by the portal administrator

Customer Registration

  1. In order to gain access to the part of the "Customer Panel" portal, the customer must first register using the registration form.

  1. After completing all the required information fields, the portal administrator verifies the data provided.

  1. If all data is consistent with the controlled registers, the administrator grants the customer access to the "customer panel" by giving the customer an individual login and a one-time password for logging in, which the customer should change immediately after the first login.

  1. The Administrator reserves the right to suspend the acceptance of access rights to the "customer panel" in the following situations:

  • When the reliability of the data provided in the registration form raises doubts

  • When the relevant customer registration data has changed

  • When a customer sells illegally purchased products

  • When the competent state authority requests the seller to do so

  1. The customer is obliged to inform about any significant registration changes that he made after registering as a customer of the portal (in particular change of registered office, change of tax residence)

§5
Ordering

  1. To place an order, it is necessary to log in to the customer panel

  1. The order is placed via an interactive form

  1. The customer places an order by selecting the products selected by him and indicating quantity

  1. Approval of the order involves the obligation to make a payment to the indicated bank account of the seller

  1. If the order is not paid within 14 days from the moment of its order, the order loses the status of an active order, and the seller does not undertake to ensure its delivery.

  1. By placing an order, the customer accepts the provisions of these regulations

Payment

  1. All payments must be made by money transfer to the indicated account

  1. The currency used for making payments is, in principle, the Euro

  1. The Seller allows you to make payments in another currency after prior agreement with the customer

  1. In the case of sale through the Polish distributor Foggy Frog sp. z o.o. , the currency used for the settlement of the order is Polish zlotys.

§7
Order processing

  1. After placing the order and paying for it, the seller will immediately prepare sales documents and delivery documents

  1. The customer has the opportunity to:

  • Collect in person

  • Transport orders /goods on your own,organise independent delivery company (in this case, before issuing the order, you must provide all the necessary authorizations of the company/seller)

  • Delivery for an additional fee by the seller.

  1. After paying for the order, the customer is obliged to collect his order within 21 days from the moment of receiving the information, after this period the seller reserves the right to charge an additional storage fee in his own warehouse in the amount of 50 euro (net) / each pallet

§8
Withdrawal from the contract

  1. Before receiving the order, the customer has the right to withdraw from the concluded contract

  1. If the delivery is carried out by the seller, the seller reserves the right to maintain the transport charges if he has incurred the related costs and the customer has withdrawn from the contract

  1. In the event of withdrawal from the contract after payment of the order, the seller returns the amount collected within 7 working days of the customer's withdrawal from the contract.

  1. Issues of withdrawal from the contract after receiving the order are determined individually with the customer

§9
Complaints

  1. The condition for accepting the complaint is the delivery of a defective product

  1. The condition for recognizing the complaint is to indicate the defect of the device, which results from defects that lie on the side of the manufacturer

  1. Complaints about used products are not taken into account

  1. The complaint should contain written indications of the defect

  1. Products subject to complaint should be delivered to the seller's warehouse

§10
Processing and protection of personal data

  1. All www.foggyfrog.eu, subpages and interdependent pages collected by the portal are collected with the consent given by the customer

  1. The administrator of this data is EXPERTO s.r.o., in the case of customer service from the Poland the data administrator is Foggy Frog sp. z o.o.

  1. The data is processed and stored in accordance with the regulations (link to the rules and regulations)

  1. The customer has the right to inspect his data collected by the website at any time

  1. The customer has the right to request the update of his data at any time

  1. The customer has the right to withdraw the consent previously given to the processing of data at any time

  1. The customer has the right to request at any time after the withdrawal of the consent given to the processing of data, the deletion of his data from the data file, but the data administrator has the right to retain the data necessary for the verification of orders and data processing for the needs of tax and customs authorities

  1. The data administrator undertakes to keep the data entrusted to him confidential and not to provide any information to outsiders, with the exception of state authorities authorised to do so, to which the provisions of the Act give the right to request information about the collected data.

  1. The processing of data collected by the www.foggyfrog.eu website takes place in order to fulfil orders, meet the registration obligations incumbent on the seller resulting from the regulations, for the purpose of internal sales statements

§11
Final provisions

  1. The Seller reserves the right to make changes to these regulations. Any change must be notified to the customer within 7 business days before the change takes place. After obtaining this information, the customer has 7 working days to terminate his registration as a customer of the website. Acceptance of the new provisions may be made by "tacit agreement”. In the absence of the customer's objection after this date, the changes are considered effectively implemented and binding

  2. Any matters that cannot be resolved amicably should be settled by the court having material and local jurisdiction for the seat of EXPERTO s.e.o., in the case of distribution in Poland, the court having material and local jurisdiction for the seat of Foggy Frog sp.z o.o.
